Terms of Service

1. What you're agreeing to
By creating an account or installing any Verbative product — the Verbative VS Code extension, the Verbative Voice app, or the verbative-memory packages (together the "Service") — you agree to these Terms. If you don't agree, do not use the Service.
2. The Service
Verbative comprises three products:
- Verbative Code — an agentic development extension for VS Code: a voice and multi-agent control layer that drives Anthropic's Claude Code CLI, and can also work with other AI coding agents you run yourself (for example OpenAI's Codex CLI).
- Verbative Memory (shown as "Memory MCP" on our website) — an on-device memory engine for AI coding agents (capture, recall, and analytics), included in the Verbative Code Advanced plan. It is available inside the extension and as the standalone
verbative-memorypackages (installable via pip or npx), which connect to agents over MCP and require signing in with your Verbative account. - Verbative Voice — a standalone macOS dictation app: a floating button that types what you say into any application, with transcription running fully on your own device.
To the extent permitted by law, the Service is provided "as is". This does not affect your mandatory statutory rights, including the rights in respect of conformity for paid digital products under §§ 327 ff. BGB.
We may add, change, or remove features. For a paid digital product we will keep the Service in conformity with the contract throughout your subscription and will provide the updates — including security updates — that are necessary to maintain conformity, and inform you of them (§ 327f BGB, Aktualisierungspflicht). If the Service is defective, you have the statutory remedies for digital products: subsequent performance (cure), a reasonable reduction of the price, termination of the contract, and damages or reimbursement of futile expenditure (§§ 327i ff. BGB); nothing in these Terms limits those rights. Where a change goes beyond what is needed to maintain conformity and would significantly impair your ability to use the Service, we will inform you in good time and, where the law so requires, give you a right to terminate (§ 327r BGB).
3. Accounts
You sign in with a one-time code sent to your email address; you are responsible for activity on your account and for keeping access to that email address secure. One paid subscription entitles a single individual to use the Service on the devices they personally use. You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase a paid subscription.
4. Plans, price and billing
We offer the following plans; current prices are shown on our pricing page:
- Verbative Code Free permits a limited number of metered actions per day (resets 00:00 UTC).
- Verbative Code Advanced is a paid subscription, billed monthly or annually. It includes the Memory engine (in the extension and via the standalone
verbative-memorypackages) and Verbative Voice. - Verbative Voice is also available as its own paid subscription, billed monthly or annually, covering the dictation app alone.
For consumers, the price stated is the total price and includes any applicable tax (for example German VAT at the statutory rate); the tax applicable to your location is determined and collected by our Merchant of Record (see below).
Free trial. Paid subscriptions start with a 14-day free trial for first-time subscribers. The first charge is taken after the trial ends; if you cancel before the end of the trial, nothing is charged. The applicable trial terms are shown before you order.
Introductory offers. Where an introductory discount applies (for example a reduced price for the first months of a monthly plan), the discounted price, its duration, and the regular price that applies afterwards are shown before you order.
Billing through our Merchant of Record (Stripe). Paid subscriptions (Verbative Code Advanced and Verbative Voice) are sold and processed by Stripe acting as our Merchant of Record ("Stripe Managed Payments"). This means Stripe is the seller of record for the payment transaction: Stripe takes payment; calculates, collects and remits any applicable sales tax, VAT or GST based on your location; issues your payment receipts, invoices and any credit notes directly to you; and handles payment-related support, refunds and payment disputes. On your bank or card statement the charge appears via Stripe (for example LINK.COM* VERBATIVE). Verbative (Cramer Digital) remains the provider of the Service itself, is responsible for product-level support, and keeps the Service in conformity as set out in these Terms.
How the contract is concluded. Before you place a paid order we show you the essential characteristics of the plan you selected, the total price including tax, the trial conditions, and the term and cancellation conditions. You conclude the subscription by activating an order button that is clearly labelled to make the payment obligation explicit (for example "Subscribe & pay" / "zahlungspflichtig bestellen", as required by § 312j BGB). The subscription takes effect when your order is confirmed.
Technical steps, contract text and language. You order by selecting a plan on our pricing page and completing the Stripe checkout. Before activating the order button you can review your order and correct input errors at any time using the checkout's on-screen fields and navigation. The contract is concluded in English. After you order, you receive a confirmation of the contract on a durable medium (email) restating its essential terms (§ 312f BGB). We store the contract text (your plan, the price, and the version of these Terms applicable at the time of your order); the current Terms are always available on our website, and you can request the version applicable to your order at info@verbative.de.
Renewal and cancellation. A monthly subscription renews automatically for successive monthly billing periods; you may cancel at any time with effect from the end of the current monthly period. A yearly subscription has an initial term of one year; after the initial term it does not renew for a further fixed year but continues for an indefinite period (still billed yearly in advance), and you may then cancel at any time with a notice period of one month (§ 309 Nr. 9 BGB). If such a cancellation takes effect part-way through a yearly period you have already paid for, the prepaid price for the remaining time is refunded to you pro rata. During a free trial, the subscription simply ends with the trial and nothing is charged. You can cancel using the cancellation button on our website at verbative.de/cancel ("Cancel contracts here", as required by § 312k BGB), through the Stripe customer portal, or by emailing info@verbative.de; we confirm receipt and the effective date of your cancellation in text form. Except as set out above, already-paid periods are not refunded unless the law or your right of withdrawal (section 9) requires it; refunds, where due, are processed through Stripe as Merchant of Record.
If the Verbative Code Advanced plan lapses, the Memory engine pauses capture and recall; your memory files remain on your device, untouched and readable, and everything resumes when you subscribe again.
5. Acceptable use
You will not (a) attempt to circumvent the usage limit, (b) resell or sublicense the Service, (c) reverse-engineer the licensing system except as permitted by law, or (d) use the Service to violate Anthropic's usage policies for Claude. You are solely responsible for the prompts and content you submit through the Service and for ensuring they comply with Anthropic's Usage Policy and Consumer Terms — Verbative does not monitor, filter, or moderate your prompts. The Service is intended for ordinary, individual, human-in-the-loop use; you will not run it unattended, automate it at scale, or use it to pool or share Claude subscriptions across users.
6. Third parties
Verbative Code drives Anthropic's official Claude Code CLI by voice, on your own Claude subscription. It does not resell, proxy, or route requests through your Anthropic credentials, and it never handles your Claude login or OAuth tokens — the Claude Code CLI performs its own authenticated requests. We are not Anthropic and do not control Claude's behavior, availability, or pricing. Your use of Claude is governed by Anthropic's terms. "Claude" and "Claude Code" are trademarks of Anthropic, PBC; Verbative is an independent product and is not affiliated with, endorsed by, or sponsored by Anthropic.
The same applies where the Service works with other AI coding agents you run yourself (for example OpenAI's Codex CLI): those agents run on your own account and under the respective provider's terms; we never handle your credentials for them, and we are not affiliated with, endorsed by, or sponsored by their providers. Verbative Voice uses no third-party AI service at all — transcription runs entirely on your device.
7. Termination
We may suspend or terminate your account for material breach of these Terms (including abusive bypass of the usage limit), generally after a prior warning unless a warning is dispensable under § 314 (2) BGB. Your statutory rights, including any refund due for prepaid periods after such a termination, remain unaffected. You may delete your account at any time from your account page or by emailing info@verbative.de.
8. Liability
Nothing in these Terms excludes or limits our liability where it may not lawfully be excluded or limited. We are liable without limitation (a) for intent and gross negligence; (b) for injury to life, body or health; (c) under the German Product Liability Act (Produkthaftungsgesetz); and (d) to the extent we have assumed a guarantee.
For slight negligence we are liable only where we breach an essential contractual obligation (a duty whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely). In that case our liability is limited to the damage that is foreseeable and typical for this type of contract. Any further liability is excluded. These limitations also apply in favour of our legal representatives and vicarious agents.
Your mandatory statutory rights as a consumer remain unaffected.
9. Right of withdrawal (consumers)
If you are a consumer (a natural person concluding the contract for purposes outside your trade, business or profession), you have a statutory right of withdrawal. The paid subscriptions (Verbative Code Advanced and Verbative Voice) are paid digital services within the meaning of § 327 BGB, so the following instruction applies to each of them.
Right of withdrawal You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us — Florian Cramer (Cramer Digital), Noppiusstraße 16, 52062 Aachen, Germany, telephone +49 1578 6837646, email info@verbative.de — of your decision to withdraw from this contract by an unequivocal statement (for example a letter sent by post or an email). You may use the model withdrawal form in Appendix 1, but it is not obligatory. To meet the withdrawal deadline it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and no later than 14 days from the day on which we received notification of your withdrawal. We will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise; in no event will you be charged any fees for this reimbursement.
If you requested that the service begin during the withdrawal period, you shall pay us a reasonable amount that corresponds to the proportion of the service already provided up to the point at which you informed us of your withdrawal, compared with the full scope of the contract.
Because paid subscriptions are sold through Stripe as our Merchant of Record (section 4), you may address your withdrawal, at your choice, to us using the details above or to Stripe; a withdrawal declared to us is effective in any event, and we will notify Stripe. The reimbursement itself is executed by Stripe as Merchant of Record to your original payment method, within the deadline stated above.
Early expiry of the right of withdrawal (§ 356 (4) BGB) Your right of withdrawal expires in the case of a contract for the provision of a paid service once we have fully performed the service, but only if you (a) expressly consented to us beginning performance before the end of the withdrawal period and (b) confirmed your knowledge that you thereby lose your right of withdrawal upon our complete performance of the contract. The right of withdrawal exists once, for 14 days from the conclusion of the contract; it does not arise again when the subscription renews. If you withdraw within that period after performance has begun at your request, the pro-rata rule above applies. Where your subscription starts with a free trial, no payment falls due during the 14-day withdrawal period, so withdrawing (or cancelling) before the trial ends costs you nothing. Your mandatory statutory consumer rights remain unaffected by these Terms.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, you also enjoy the mandatory protections of the law of your country of habitual residence, which these Terms do not override. If you are a consumer, the courts with jurisdiction are determined by the statutory rules. If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the provider's place of business (Aachen, Germany).
11. Changes to these Terms
We may revise these Terms with effect for the future where there is a valid reason that arose after you accepted them — for example changes in the law or case law, new or changed features, or changes in our technical or commercial processes — and only to the extent the revision is reasonable for you. We will announce changes by email to the address on file at least 30 days before they take effect, highlighting what changes and expressly pointing out your right to object and the consequences of not objecting. If you do not object before the change takes effect, the revised Terms apply from that date; if you object, we may cancel your subscription with effect from the end of the current paid period. Changes to the essential content of the contract — in particular the agreed core Service and the price — are never made this way; they require your express agreement. Your right to cancel at any time under section 4 remains unaffected.
12. Dispute resolution and contact
We are neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration board (§ 36 VSBG). Questions? Email info@verbative.de.
